By accessing or using any services provided by MA Intelligent Systems LLC ("Company," "we," "us," or "our"), including MA Finance Hub, ChiroBill, INIP, and any associated websites or applications (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Services.
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services in any way that violates any applicable federal, state, local, or international law or regulation. You are responsible for ensuring that all persons who access the Services through your account are aware of and comply with these Terms. You agree not to misuse, reverse-engineer, or interfere with the operation of our platforms.
To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
Certain Services require payment of fees. Paid plans are billed monthly or annually in advance. All fees are non-refundable unless otherwise required by law. We reserve the right to change our pricing with 30 days' notice. Free trial periods may be offered at our discretion. If your payment method fails, we may suspend access to your account until payment is received.
All content, code, designs, documentation, and functionality of the Services are the intellectual property of MA Intelligent Systems LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive license to use the Services for your business purposes. You retain ownership of all data you input into our platforms.
To the fullest extent permitted by law, MA Intelligent Systems LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Services. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.
Either party may terminate at any time. We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will cease immediately. Your data will remain accessible for 30 days following termination. After that period, data may be permanently deleted. You may export your data at any time prior to termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Ector County, Texas.
